1. Acceptance of Terms

By accessing or using TextileERP services, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Services

TextileERP provides cloud-based enterprise resource planning software purpose-built for the textile industry. Services include modules for inventory, production, order management, quality control, finance, analytics, and sustainability reporting.

3. Account Registration

You must be at least 18 years old and authorized to act on behalf of the business for which you are registering. You are responsible for maintaining the confidentiality of your account credentials.

4. Subscription & Payment

Subscriptions are billed monthly or annually in advance. Annual subscriptions are non-refundable except where required by law. Monthly subscriptions can be cancelled with 30 days notice. We reserve the right to change pricing with 60 days notice for subscription renewals.

5. Free Trial

We offer a 14-day free trial with full platform access. At trial end, you may subscribe to continue service or your account will move to read-only mode. Data is preserved for 30 days post-trial before deletion.

6. Acceptable Use

You agree not to:

Use the service for any unlawful purpose
Attempt to breach security or disrupt service availability
Reverse engineer, decompile, or disassemble the software
Resell or redistribute the service without authorization
Upload malicious code or content that infringes intellectual property

7. Data Ownership

You retain all ownership rights to data you upload to TextileERP. We act as a data processor on your behalf. You can export your data at any time via the built-in export tools or REST API. We do not sell your data to third parties.

8. Service Level Agreement

We target 99.9% uptime excluding scheduled maintenance. Enterprise customers receive contractually binding SLAs with service credits for downtime. Monthly uptime reports are available in the admin dashboard.

9. Intellectual Property

TextileERP software, branding, and documentation are our intellectual property. Customer data remains the property of the customer. Feedback, suggestions, and improvement ideas provided to us may be used without obligation.

10. Termination

Either party may terminate for material breach with 30 days written notice (15 days to cure). Upon termination, you have 30 days to export data before permanent deletion. We reserve the right to suspend service immediately for non-payment or violations of acceptable use.

11. Warranty Disclaimer

The service is provided "as is" without warranty of any kind, express or implied, except as explicitly stated in your subscription agreement or enterprise contract.

12. Limitation of Liability

Our total liability shall not exceed the subscription fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages except where prohibited by law.

13. Governing Law

These Terms are governed by the laws of India, with exclusive jurisdiction in the courts of Hyderabad, Telangana. Enterprise customers may negotiate alternative jurisdiction in their Master Service Agreement.

14. Changes to Terms

We may modify these Terms with 30 days notice via email. Continued use after changes take effect constitutes acceptance of the revised Terms.
